Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Foundwise website, application, and related services (collectively, the “Service”), operated by Foundwise LLC (“Foundwise,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Foundwise is a software platform that provides an AI-assisted “co-founder” experience to help users explore, structure, research, and validate business ideas through a guided framework. The Service generates suggestions, questions, research, summaries, and other outputs (“AI Outputs”) to assist your own thinking and decision-making. The Service is an informational and productivity tool. It does not provide professional business, legal, financial, investment, tax, or other advice, and it is not a substitute for professional judgment or your own due diligence.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate.
3. Accounts
To use most features, you must create an account using an email address and password or a supported third-party sign-in (such as Google). You are responsible for safeguarding your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. Notify us promptly at info@fndws.com of any unauthorized use of your account.
4. Subscriptions, Free Trial, and Billing
Subscription. The Service is offered on a paid subscription basis. Current pricing (for example, a monthly subscription) is presented at sign-up and may be updated from time to time as described below. Payments are processed by our third-party payment processor, Stripe; by subscribing, you also agree to Stripe’s applicable terms.
Free trial. We may offer a free trial period. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged the then-current fee. Trial terms (including duration) are presented at sign-up.
Promotional codes. We may offer promotional or discount codes. These are subject to the specific terms presented with them, may be limited or revoked, and have no cash value.
Automatic renewal. Subscriptions renew automatically for successive periods at the then-current rate until cancelled.
Cancellation. You may cancel at any time through your account or the billing portal. Cancellation stops future renewals; it does not retroactively refund the current period unless required by law.
Refunds. Except where required by law or expressly stated by us, fees are non-refundable.
Price changes. We may change our fees. We will give you reasonable advance notice of any price change, and the change will take effect on your next renewal. Your continued use after a price change takes effect constitutes acceptance.
Taxes. Fees are exclusive of applicable taxes, which are your responsibility.
5. Your Content and Your Ideas
This section is important, so we have tried to make it plain.
You own your ideas. You retain all ownership of, and all rights to, the ideas, text, inputs, materials, and other content you submit to or create using the Service (“Your Content”). We do not claim ownership of Your Content or of your business ideas. Using the Service does not give us any right to build, launch, sell, or otherwise commercialize your specific business idea as our own.
License you grant us (so we can run the Service). Solely to operate, provide, secure, maintain, and improve the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display Your Content, and to generate AI Outputs from it. This license exists only to make the Service work for you and ends when Your Content is deleted, except for residual copies retained in routine backups or as required by law, and except for de-identified or aggregated data as described below.
How we access and analyze content. To provide and improve the Service, Your Content is processed by our systems and by third-party AI providers that power the Service. We may also access, review, and analyze submitted content to operate, maintain, and secure the platform, to improve our products, features, and models, and for other legitimate business purposes. We treat Your Content as confidential as described below.
Confidentiality. We will not publicly disclose your specific ideas or the substance of Your Content without your consent, except as needed to provide the Service (including to the service providers described in our Privacy Policy), to comply with law, or to protect our rights. This is not a substitute for your own confidentiality and IP protections; if your idea requires formal protection (for example, a patent or a signed NDA), you are responsible for obtaining it.
Aggregated and de-identified data. We may create and use aggregated or de-identified data derived from use of the Service (data that does not identify you or reveal your specific idea) for any business purpose, including analytics and improving the Service.
No partnership or other relationship. Your use of the Service does not create any partnership, joint venture, agency, employment, fiduciary, investment, or other relationship between you and Foundwise beyond your use of the Service under these Terms. Nothing in the Service obligates Foundwise to fund, invest in, partner with, or otherwise transact with you, and nothing obligates you to offer Foundwise any interest in your idea or business.
Your responsibilities for Your Content. You represent that you have the rights necessary to submit Your Content and that it does not infringe anyone’s rights or violate any law. You are solely responsible for Your Content and for any decisions you make based on AI Outputs.
6. AI Outputs and No Professional Advice
The Service uses artificial intelligence, which can produce information that is inaccurate, incomplete, outdated, or unsuitable for your situation. AI Outputs, including any research, scores, validation, recommendations, or summaries, are provided for informational purposes only, are generated automatically, and should not be relied upon as professional advice or as a guarantee of any outcome. Validation, feedback, or a positive assessment within the Service is not a promise that an idea will succeed, attract customers, or attract investment. You are responsible for independently verifying information and for your own business, legal, financial, and other decisions.
7. Acceptable Use
You agree not to:
- use the Service for any unlawful, harmful, or fraudulent purpose;
- submit content that is illegal, infringing, defamatory, or that violates others’ rights;
- attempt to access accounts, data, or systems you are not authorized to access;
- reverse engineer, scrape, or copy the Service except as permitted by law;
- interfere with or disrupt the Service or its security;
- use the Service to build a competing product, or to train a competing model, except as permitted by law; or
- use the Service to generate harmful, deceptive, or abusive content.
We may suspend or terminate accounts that violate these Terms.
8. Our Intellectual Property
The Service, including its software, design, branding, “Foundwise” name and logos, frameworks, and content we provide (excluding Your Content), is owned by Foundwise or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. No other rights are granted.
9. Third-Party Services
The Service relies on third-party providers (for example, payment processing, hosting, authentication, and AI). Your use of those features may be subject to the third parties’ terms, and we are not responsible for third-party services. The Service may also contain links to third-party sites or tools, which we do not control or endorse.
10. Disclaimers
THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTCOME WILL RESULT FROM USING IT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDWISE AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY AI OUTPUTS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold harmless Foundwise from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
13. Term and Termination
These Terms apply while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Sections that by their nature should survive termination (including ownership, confidentiality, disclaimers, limitation of liability, and indemnification) will survive.
14. Changes to the Service and to These Terms
We may modify or discontinue features of the Service at any time. We may also update these Terms; if we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new date or by email). Your continued use after changes take effect constitutes acceptance.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Colorado for any dispute not subject to another agreed dispute-resolution process.
16. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Foundwise regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
